Last updated: 9 August 2026

Article 1 – Capital Lease

  1. These terms and conditions are used by Capital Lease, established at Middelweg 223, 2312 KJ Leiden, the Netherlands, and registered with the Dutch Chamber of Commerce under number 99432072.
  2. Capital Lease can be contacted at info@capital-lease.nl.
  3. In these terms and conditions, Capital Lease is referred to as “Capital Lease”.

Article 2 – Definitions

In these terms and conditions:

Customer: a natural person acting in the course of a profession or business, or a legal entity or partnership, using the services of Capital Lease.

Financier: a bank, leasing company, credit provider or other financing company to which a finance application is submitted or with which the Customer enters into a financing agreement.

Supplier: the seller, dealer or other supplier of the vehicle.

Finance Application: a request to assess financing possibilities or obtain a proposal for business financial lease or another form of business vehicle financing.

Services: the activities of Capital Lease described in Article 4.

Article 3 – Applicability

  1. These terms and conditions apply to all offers, assignments, agreements and other services of Capital Lease.
  2. Capital Lease provides its services exclusively to parties acting in the course of a profession or business. The services are not intended for consumer credit.
  3. Financiers and Suppliers involved by Capital Lease may apply their own terms and conditions. Those terms govern the legal relationship between the Customer and the relevant third party.
  4. The terms and conditions of Capital Lease do not amend or replace the terms of a Financier or Supplier.
  5. Any terms and conditions of the Customer are expressly rejected unless Capital Lease has accepted them in writing.
  6. Deviations from these terms and conditions are valid only if agreed in writing or electronically between Capital Lease and the Customer.

Article 4 – Role and services of Capital Lease

  1. Capital Lease assists entrepreneurs in finding and arranging suitable business vehicle financing.
  2. The Services may include:
  • identifying the financing requirement;
  • discussing a vehicle, purchase price, down payment, term and final instalment;
  • collecting information required for a Finance Application;
  • submitting an application to one or more Financiers;
  • communicating an indicative or final proposal;
  • assisting with the administrative process between the Customer, Financier and Supplier.
  1. Capital Lease does not itself provide financing unless expressly agreed otherwise in a separate written agreement.
  2. The Financier independently decides whether to accept a Finance Application and determines the terms of any financing proposal.
  3. Capital Lease cannot guarantee that an application will be accepted or that a particular interest rate, term, monthly instalment, final instalment or financing amount will be available.
  4. Capital Lease performs its Services to the best of its knowledge and ability and with the care that may be expected of a reasonably acting service provider. Capital Lease has a best-efforts obligation and not an obligation to achieve a specific result.

Article 5 – Application and conclusion of agreements

  1. Initial contact, calculations, applications and discussions are non-binding unless expressly agreed otherwise in writing.
  2. An indication or preliminary calculation on the website or provided by Capital Lease does not constitute a binding financing offer.
  3. An assignment to Capital Lease arises when the Customer asks Capital Lease to prepare or submit a Finance Application and Capital Lease accepts that assignment.
  4. A financing agreement arises only in accordance with the terms and acceptance procedure of the relevant Financier.
  5. Without an express written power of attorney, Capital Lease is not authorised to enter into a financing agreement on behalf of a Financier or bind a Financier to a proposal.
  6. Where documents are signed electronically, the electronic signature will, to the extent permitted by law, serve as confirmation of the relevant statement or agreement.

Article 6 – Information supplied by the Customer

  1. The Customer must provide in a timely manner all information and documents reasonably required for the performance of the assignment and assessment of a Finance Application.
  2. The Customer warrants that the information provided is, to the best of the Customer's knowledge, correct, complete and up to date.
  3. The Customer must inform Capital Lease as soon as possible of changes that may be relevant to the Finance Application.
  4. Capital Lease may rely on information supplied by the Customer, Supplier or another party involved unless Capital Lease knows or reasonably should know that the information is incorrect.
  5. Capital Lease may suspend handling an application where required information or documents are missing.
  6. The Customer must not provide special-category personal data or other unnecessary personal data unless Capital Lease has expressly requested them.

Article 7 – Assessment by the Financier

  1. A Financier may require additional documents or information under its acceptance policy.
  2. Where a valid legal basis exists, a Financier may perform checks relating to identity, the business, financial position, creditworthiness, fraud and payment history.
  3. Depending on the Financier, the legal form of the Customer and the type of financing, a credit-registration system may be consulted or a registration may take place.
  4. Capital Lease does not independently determine the acceptance criteria, checks or registrations applied by a Financier.
  5. Where applicable, the Financier itself provides information on its processing of personal data and credit assessment.

Article 8 – Vehicle and Supplier

  1. Where a vehicle is sold or supplied by a third party, the purchase or supply agreement is concluded between the Customer and the relevant Supplier unless expressly agreed otherwise in writing.
  2. In that case, Capital Lease is not the seller of the vehicle.
  3. The Supplier is responsible for obligations arising from the purchase or supply agreement, including the accuracy of vehicle information supplied by the Supplier, the condition of the vehicle, delivery and any warranties.
  4. Capital Lease may pass on information from a Supplier but does not warrant its accuracy where Capital Lease has not independently verified that information.
  5. The Customer remains responsible for assessing whether the vehicle is suitable for the Customer's intended use.

Article 9 – Calculations and proposals

  1. Website calculations and other preliminary calculations are indicative.
  2. The actual financing proposal may depend on factors including the purchase price, down payment, term, final instalment, vehicle, business and the Financier's acceptance policy.
  3. Only the final written proposal of the relevant Financier contains the binding financial terms, provided the proposal is accepted in accordance with its terms.
  4. Before signing, the Customer must check the amounts, term, interest, final instalment, security, costs and other terms of the final proposal.

Article 10 – Costs and fees

  1. The Customer owes Capital Lease a brokerage, administration, cancellation or other fee only if Capital Lease has clearly agreed that fee and its amount or calculation method with the Customer before the payment obligation arises.
  2. A fee that was not clearly agreed in advance will not subsequently be charged to the Customer solely on the basis of these terms and conditions.
  3. Costs, interest and other amounts forming part of the financing agreement are determined by the Financier and stated in the relevant proposal or financing agreement.

Article 11 – Cancellation or termination of the assignment

  1. The Customer may inform Capital Lease that the Customer no longer wishes an application to be handled as long as no binding agreement with a Financier or other third party has been concluded.
  2. Terminating the assignment to Capital Lease does not automatically terminate an agreement already concluded between the Customer and a Financier, Supplier or another third party.
  3. Any cancellation fee charged by Capital Lease is payable only if expressly agreed in advance in accordance with Article 10.
  4. Any cancellation or termination costs charged by a Financier or Supplier are governed by the agreement between the Customer and that party.

Article 12 – Communication

  1. Capital Lease may communicate in connection with the assignment by email, telephone and other communication methods used or agreed with the Customer.
  2. Where the Customer chooses to communicate through an external messaging service, the provider of that service may also process personal data.
  3. Each party is responsible for checking that electronic messages and documents have been correctly received.

Article 13 – Confidentiality

  1. Capital Lease treats confidential business and financial information received in connection with the assignment as confidential.
  2. Capital Lease may disclose such information where necessary to perform the assignment, handle a Finance Application, use a necessary service provider or comply with a legal obligation.
  3. The confidentiality obligation does not apply to information that is public without breach by Capital Lease.

Article 14 – Delay and force majeure

  1. Capital Lease endeavours to handle applications carefully and promptly.
  2. Processing times and actions of Financiers, Suppliers, public authorities and other independent third parties are outside Capital Lease's direct control.
  3. An indication of response time, acceptance time or delivery date is not a guarantee unless Capital Lease has expressly confirmed it in writing as a binding deadline.
  4. A failure cannot be attributed to Capital Lease where it is not due to its fault and is not for its account under the law, a legal act or generally accepted standards.
  5. Where circumstances outside Capital Lease's reasonable control temporarily prevent performance, Capital Lease will resume the Services as soon as reasonably possible.

Article 15 – Liability

  1. Capital Lease is liable for direct loss that is the direct result of an attributable failure by Capital Lease in performing its own Services.
  2. Capital Lease is not liable for decisions, acts or failures of a Financier, Supplier or other independent third party unless the loss is also caused by an attributable failure of Capital Lease.
  3. Capital Lease is not liable for loss resulting from incorrect, incomplete or late information supplied by the Customer.
  4. To the extent permitted by law, Capital Lease is not liable for indirect loss, including consequential loss, loss of profit, missed savings or business interruption, unless the loss results from intent or deliberate recklessness by Capital Lease.
  5. Nothing in these terms limits liability where such limitation is prohibited by mandatory law.
  6. The Customer must report possible loss as soon as reasonably possible after discovering it so that Capital Lease can investigate the cause and possible mitigation.

Article 16 – Website and information

  1. Capital Lease takes care in preparing information on its website.
  2. General explanations, examples and articles on the website are general information and do not constitute individual tax, legal or accounting advice.
  3. Indicative monthly payments, interest examples or vehicle examples on the website do not constitute a binding offer.
  4. Where tax, legal or accounting advice is required for a decision, the Customer should obtain advice from an appropriate professional where necessary.

Article 17 – Personal data

  1. Capital Lease processes personal data in accordance with applicable data-protection law.
  2. More information on the processing of personal data is set out in the Capital Lease privacy statement.
  3. The privacy statement provides information about data processing and does not form a contractual part of these terms and conditions.

Article 18 – Intellectual property

  1. Rights in the content, design and materials developed by Capital Lease are owned by Capital Lease or its licensors unless stated otherwise.
  2. These materials may not be reproduced or used commercially without permission, except to the extent permitted by law.

Article 19 – Amendments

  1. Capital Lease may amend these terms and conditions for future assignments.
  2. An existing assignment will in principle remain subject to the version provided when the assignment was entered into, unless the parties validly agree otherwise or an amendment is required by mandatory law.
  3. The current version is published on the website.

Article 20 – Severability

If any provision of these terms and conditions is void, voidable or otherwise unenforceable, the remaining provisions remain in force. Where necessary, the affected provision will be replaced by a valid provision that reflects the purpose and intent of the original provision as closely as possible.

Article 21 – Governing law and disputes

  1. The legal relationship between Capital Lease and the Customer is governed by Dutch law.
  2. The parties will first try to resolve a dispute by mutual consultation.
  3. If this is unsuccessful, the dispute will be submitted to the court having jurisdiction under Dutch law.

Article 22 – Complaints

  1. A complaint about Capital Lease's Services may be submitted to info@capital-lease.nl.
  2. A complaint should include at least the complainant's name, contact details and a clear description of the complaint.
  3. Capital Lease will confirm receipt and handle the complaint within a reasonable period.
  4. Depending on the subject, a complaint concerning the performance of a financing agreement or a decision of a Financier may also need to be submitted to the relevant Financier.

Article 23 – Language

If Capital Lease makes a translation of these terms and conditions available and there is a difference in interpretation between the Dutch text and a translation, the Dutch text prevails.
